TERMS & CONDITIONS – AV DYNAMIC

Welcome to AV Dynamic (“Company,” “we,” “our,” or “us”). By accessing or using our website, digital content, or services, you agree to these Terms & Conditions. If you do not agree, please discontinue the use of our website and services immediately.

1. COMPANY OVERVIEW

AV Dynamic is a professional Audio-Visual (AV) consulting and integration company offering enterprise-grade AV design, automation, installation, and support solutions across India. Our services include AV-over-IP design, meeting room automation, unified collaboration setup, digital signage, lighting automation, and AV consulting for offices, BFSI, education, healthcare, and real estate sectors.

All engagements with AV Dynamic are governed by formal proposals, purchase orders, or contracts mutually signed between AV Dynamic and the Client.

2. ACCEPTANCE OF TERMS

By using our services or engaging in a contractual relationship with AV Dynamic, you:

  • Acknowledge having read and understood these Terms.

  • Agree to comply with all applicable laws and regulations.

  • Consent to electronic communication for invoices, proposals, or service notifications.

If you represent a business entity, you confirm you are authorized to bind the organization to this agreement.

3. SCOPE OF SERVICES

AV Dynamic provides:

  • AV Consultation & Design Services – technical drawings, BOQs, and layout planning.

  • Integration & Installation – setup of AV hardware, automation, and software systems.

  • Maintenance & Support – periodic servicing, troubleshooting, and software updates.

  • Training & Handover – user enablement, documentation, and system familiarization.

All deliverables will adhere to agreed project timelines and specifications. AV Dynamic reserves the right to modify project components to meet technical or compliance standards without affecting agreed quality benchmarks.

4. INTELLECTUAL PROPERTY RIGHTS

All design drawings, concept documentation, software programming (Crestron, QSC, Biamp, etc.), and branding materials created by AV Dynamic remain the intellectual property of the company unless explicitly transferred in writing.

You may not copy, distribute, or reproduce any proprietary AV Dynamic material or system programming without written authorization.

Partner brands such as Logitech, Neat, Crestron, and others retain full ownership of their products, trademarks, and licensed technologies.

5. CONFIDENTIALITY

Both AV Dynamic and the Client agree to maintain the confidentiality of proprietary, business, or technical information shared during engagements.

  • Confidential data shall not be disclosed to any third party without written consent.

  • This obligation remains valid for five (5) years post-contract completion.

6. PAYMENT TERMS

    • All quotations and invoices are subject to applicable GST and other statutory taxes under Indian law.

    • Payments are due as per milestones defined in the signed quotation or service agreement.

    • Delayed payments attract an interest of 2% per month or the maximum permissible by law.

    • In cases of payment default, AV Dynamic reserves the right to suspend project work, revoke licenses, or withhold deliverables until dues are cleared.

    All payments must be made via traceable banking methods (NEFT/RTGS/Cheque) to AV Dynamic’s official account.

7. WARRANTIES AND DISCLAIMERS

AV Dynamic guarantees:

  • Proper installation and configuration of all AV systems supplied.

  • Compliance with OEM warranty terms for all partner-provided hardware.

 

However, AV Dynamic does not warrant:

  • Functionality affected by external systems or IT policies beyond our scope.

  • Damages due to misuse, modification, power fluctuations, or environmental factors.

  • Performance issues arising from client-side IT network changes post-installation.

Warranty support for partner products (Logitech, Neat, Crestron, etc.) will follow the respective OEM’s policy.

 

8. LIMITATION OF LIABILITY

AV Dynamic’s total liability for any claims shall not exceed the total invoiced amount for the specific project.


 We shall not be liable for:

  • Loss of profits, data, business opportunity, or indirect damages.

  • Third-party software/hardware malfunctions.

  • Downtime due to internet, electrical, or IT network disruptions.

These limitations apply to the fullest extent permitted by the Indian Contract Act (1872) and the Information Technology Act (2000).

9. TERMINATION

Either party may terminate the contract by providing 30 days’ written notice if:

  • The other party breaches material obligations.

  • Payment milestones are not honored.

  • The project is abandoned or delayed beyond agreed terms.

Upon termination, AV Dynamic shall deliver all work completed until that date and raise a final invoice for pending dues.

10. COMPLIANCE WITH LAWS

AV Dynamic complies with all relevant Indian and international laws, including:

  • The Indian Contract Act, 1872

  • The Information Technology Act, 2000

  • The Consumer Protection (E-Commerce) Rules, 2020

  • GST Act and Income Tax Regulations

  • Intellectual Property and Copyright Laws

Clients must also comply with applicable local and international laws when using AV Dynamic systems.

11. INDEMNIFICATION

The client agrees to indemnify and hold AV Dynamic harmless from any third-party claims, damages, or legal costs arising out of misuse of products or breach of these terms.

12. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by the laws of India.
 Any disputes shall be resolved amicably, failing which they will be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra.

13. UPDATES TO TERMS

AV Dynamic may amend these Terms periodically. The latest version will always be available on our official website www.avdynamic.co.in.
